SIDER Terms of Service

Welcome to SIDER's marketplace! By using our app or site, you agree to the following terms of service.

1. The SIDER Platform Connects Sellers and Buyers

The SIDER Platform is a web and app-based two-sided marketplace that connects Buyers and Sellers. "Buyers" are individuals and/or businesses seeking to obtain short-term services ("Services") from Sellers.

SELLERS ARE INDEPENDENT BUSINESS OWNERS. Sellers operate independently from SIDER. We do not supervise or control Sellers' work or the services they perform.

2. User Representation and Warranties

All Users represent and warrant the following:

  • You are at least 18 years old and capable of entering into binding agreements.
  • You will not use the SIDER Platform for unlawful activities.
  • You will not impair or harm the operation of the SIDER Platform.
3. Contract Between Buyers and Sellers

You acknowledge and agree that a legally binding contract with another User ("Agreement") is formed when you agree on the terms of a Service.

4. Billing and Payment

Users of the SIDER Platform contract for Services directly with other Users. SIDER is not a party to any contracts for Services.

5. Acceptable Use & Public Areas

The SIDER Platform may contain Public Areas like profiles, message boards, and reviews. Use these areas respectfully and in accordance with our terms.

6. Mobile App Updates and Upgrades

By installing the app, you consent to the installation of updates or upgrades. You can uninstall the app at any time.

7. Deactivation and Suspension

SIDER may suspend or deactivate your account upon its determination of a breach of this agreement.

8. Account, Password, Security, and Phone Communications

You are responsible for maintaining the confidentiality of your login and account information.

9. User Generated Content

Users are solely responsible for their content posted or transmitted on the SIDER Platform.

10. Links to Third-Party Websites

The SIDER Platform may contain links to third-party sites. We do not control or endorse these sites.

11. No Agency and No Employment

No agency, partnership, or employment relationship is created by this agreement.

12. Changes to this Agreement and SIDER's Platform

SIDER reserves the right to modify this agreement at any time, effective upon posting the updated terms.

13. Intellectual Property Rights

All content on the SIDER Platform is protected by intellectual property rights owned by SIDER or its licensors.

14. Disclaimer of Warranties

The SIDER Platform is provided on an "as is" basis without warranties or conditions of any kind.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SIDER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF SIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SIDER'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO SIDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless SIDER and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, losses, costs, and expenses (including attorneys' fees) arising out of or related to:

  • Your breach of this Agreement or violation of any law or regulation;
  • Your use of the SIDER Platform;
  • Your violation of any rights of another person or entity;
  • Any content you post or transmit on the Platform;
  • Any services you provide or receive through the Platform.
17. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the SIDER Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS. The arbitration will be conducted in the state where SIDER is headquartered, and the arbitrator's decision will be final and binding.

Notwithstanding the foregoing, SIDER may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

18. Refunds, Cancellations, and Dispute Process

SIDER facilitates connections between Buyers and Sellers but is not a party to any service agreements. All payment arrangements, cancellations, and refunds are handled directly between Users.

Cancellation Policy: Cancellation terms are determined by individual Sellers and should be agreed upon before service commencement.

Refund Policy: SIDER does not process refunds. Any refund requests must be resolved directly between Buyer and Seller.

Dispute Resolution: While SIDER may provide tools for communication, we do not mediate disputes between Users. Users are encouraged to resolve disagreements directly and professionally.

19. Tax Responsibility

Sellers are solely responsible for determining and fulfilling their obligations under applicable tax laws, including but not limited to income tax, self-employment tax, sales tax, and any other applicable taxes related to their earnings through the SIDER Platform.

SIDER does not provide tax advice and recommends that Sellers consult with qualified tax professionals regarding their tax obligations.

You agree to indemnify SIDER from any tax liability, penalties, or interest that may arise from your failure to properly report and pay taxes on income earned through the Platform.

20. Data Privacy and Communications Consent

Your privacy is important to us. Please review our Privacy Policy (available at /privacy) to understand how we collect, use, and protect your personal information.

By using the SIDER Platform, you consent to receive communications from us via email, text message, push notifications, and other electronic means. These communications may include:

  • Service-related notifications and updates;
  • Security alerts and account information;
  • Marketing communications (which you may opt out of);
  • Customer support communications.

You may opt out of non-essential communications at any time through your account settings or by following the unsubscribe instructions in our messages.

21. Enhanced Termination Provisions

SIDER may suspend, deactivate, or terminate your account immediately and without notice if you:

  • Violate any provision of these Terms;
  • Engage in fraudulent, illegal, or harmful activities;
  • Repeatedly receive negative feedback or complaints;
  • Attempt to circumvent platform safety measures;
  • Harass, threaten, or abuse other Users.

Upon termination, your right to use the Platform ceases immediately. Termination does not waive any rights or remedies that SIDER may have accrued prior to termination.

You may deactivate your account at any time through your account settings. Deactivation does not relieve you of obligations incurred prior to deactivation.

22. Platform Fees and Commissions

SIDER reserves the right to implement fees, commissions, or other charges for use of the Platform, including but not limited to:

  • Transaction fees on completed services;
  • Listing fees for premium placement;
  • Subscription fees for enhanced features;
  • Processing fees for payments facilitated through the Platform.

Any fees will be clearly disclosed before implementation, and continued use of the Platform after fee implementation constitutes acceptance of such fees.

Currently, basic use of the SIDER Platform is free, but this may change with appropriate notice to Users.

23. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and SIDER regarding your use of the Platform.
